Terms and Conditions
For services of the AIVISIBLE brand to businesses.
1. Scope and provider
1.1 These Terms and Conditions apply to all contracts for services offered under the AIVISIBLE brand. The provider and contracting party is AIVISIBLE, c/o JL Consulting Group GmbH #1631, Zürcherstrasse 84, 8852 Altendorf, Switzerland, e-mail [email protected], phone +41 41 589 69 78 (hereinafter “AIVISIBLE”). AIVISIBLE is a project of Harmecs Lab.
1.2 Deviating, conflicting or supplementary terms of the client only become part of the contract if AIVISIBLE has expressly agreed to them in text form.
1.3 The version of these Terms and Conditions valid at the time of ordering applies.
2. Target group
2.1 The offer is directed exclusively at businesses, i.e. natural or legal persons acting in the exercise of their commercial or independent professional activity, and at public-law bodies (B2B). No contracts are concluded with consumers.
2.2 By ordering, the client confirms that it is acting as a business. AIVISIBLE may request suitable evidence, such as a business identification number or VAT number.
3. Conclusion of contract
3.1 The presentation of services on the website is not a binding offer but an invitation to order.
3.2 By completing the order form, accepting these Terms and Conditions and completing payment via the payment service provider Stripe, the client makes a binding offer. The contract is concluded upon successful payment and the subsequent confirmation by e-mail.
3.3 For custom requests, the contract is concluded on the basis of an individual proposal, which prevails over these Terms and Conditions in the event of conflict.
3.4 The client receives the order details by e-mail.
4. Services and nature of AI analyses
4.1 AIVISIBLE analyses whether and how a company is named and described in the answers of selected generative AI models. To this end, third-party AI models are queried with a set of questions in the chosen query language for the chosen markets, the answers are evaluated according to a documented methodology and the results are summarised in a PDF report in German or English. The specific scope of services follows from the package description at the time of ordering.
4.2 The results are snapshots. AI models do not answer consistently: answers to identical questions may differ depending on time, model version, language, wording and market. Queries are made via the providers' technical interfaces; answers in their apps may differ.
4.3 AIVISIBLE owes the careful performance of the agreed analysis, not a particular result. In particular, no mentions, positions, visibility scores, enquiries, revenue or other business results are guaranteed.
4.4 The action plan and drafts for structured data (JSON-LD) and the LLM file are suggestions. Review, adaptation and implementation are the client's responsibility unless an implementation service has been expressly agreed.
4.5 AIVISIBLE may engage subcontractors and technical service providers to perform the services.
5. Client's cooperation
5.1 The client provides the information required for the analysis, in particular website, company name, services, markets and competitors, completely and accurately, and informs AIVISIBLE promptly of any changes.
5.2 The client warrants that it is entitled to commission an analysis of the stated website and brand. It does not submit personal data of third parties unless required for the analysis.
5.3 Delays or defects resulting from incomplete or incorrect information are not the responsibility of AIVISIBLE. Any additional effort caused may be charged separately.
6. Prices and payment
6.1 The prices in euros stated at the time of ordering apply. They are exclusive of any statutory VAT.
6.2 Insight: EUR 990 one-off. Strategy: EUR 1,990 one-off. Presence (ongoing monitoring, hereinafter “Monitoring”): EUR 390 per month. Custom requests: according to individual proposal.
6.3 Payment is made in advance via Stripe using the payment methods offered there. For Monitoring, the fee is due monthly in advance and charged automatically.
6.4 Invoices are provided electronically.
7. Term and cancellation of Monitoring
7.1 Monitoring is concluded for an indefinite period and renews for a further month each time.
7.2 Either party may cancel Monitoring at any time with effect from the end of the current billing month. Cancellation must be made in text form, for example by e-mail to [email protected].
7.3 Fees already paid for the current month are not refunded pro rata. The right to terminate for good cause remains reserved.
8. Delivery of reports and client portal
8.1 Reports are provided as a PDF by e-mail and in the personal client portal, usually within one to three working days after conclusion of the contract and agreement of the profile. Stated time frames are non-binding unless expressly agreed as binding.
8.2 Access to the client portal is via a sign-in link sent to the e-mail address given when ordering. The client protects access to this e-mail address against unauthorised use.
8.3 AIVISIBLE strives for high availability of the client portal but does not owe uninterrupted access. Reports are kept available for the duration of the business relationship, but at least twelve months; the client is advised to keep its own copy.
9. Rights of use
9.1 Upon full payment, the client receives a non-exclusive, non-transferable right, unlimited in time and territory, to use the reports for its own business purposes, to reproduce them internally and to pass them on to advisers and affiliated companies.
9.2 Publication or commercial disclosure to third parties, even in part, requires prior consent in text form. The client may use and adapt drafts for structured data and the LLM file on its own websites without restriction.
9.3 Methodology, question sets, software and templates remain with AIVISIBLE. AIVISIBLE may use anonymised and aggregated findings to improve its methodology.
10. Warranty
10.1 Defects must be notified in text form within 14 days of the report being provided. AIVISIBLE is first entitled to remedy the defect, at its discretion, by rectification or renewed performance. If this fails twice, the client may demand an appropriate price reduction or withdraw from the contract.
10.2 Deviations of the results from later queries or from answers in the AI providers' apps do not constitute a defect (clause 4.2).
10.3 Further warranty claims are excluded to the extent permitted by law.
11. Liability
11.1 AIVISIBLE is liable without limitation for damage caused intentionally or through gross negligence (Swiss Code of Obligations, Art. 100 CO) and under mandatory statutory provisions.
11.2 Otherwise, to the extent permitted by law, liability is limited to the amount paid for the analysis concerned; for Monitoring, to the fee for the month in which the damaging event occurred.
11.3 To the extent permitted by law, liability for indirect and consequential loss, loss of profit and decisions made by the client on the basis of the reports is excluded.
11.4 Liability for auxiliary persons is limited to the same extent (Art. 101 para. 2 CO).
12. AI providers and third-party services
12.1 Third-party AI models are used for the analysis, for example from OpenAI, Anthropic, Google, xAI, Perplexity, Meta, Mistral AI, DeepSeek, Alibaba, IBM, Amazon and Cohere, partly via intermediary services. AIVISIBLE has no influence over the content, availability, versions or functioning of these models and is neither affiliated with nor commissioned by their providers.
12.2 AIVISIBLE may replace individual models with comparable ones if they are changed, restricted or discontinued. The composition is noted in the report.
12.3 The questions sent to the AI models concern public information about the client's company; confidential information and personal data are not intended for this purpose.
13. Data protection
AIVISIBLE processes personal data in accordance with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR). Details are set out in the Privacy Policy.
14. Confidentiality
14.1 The parties treat all non-public information that comes to their knowledge in the course of the cooperation as confidential and use it only to perform the contract. Reports are not made available to third parties.
14.2 This obligation does not apply to information that is publicly known, lawfully obtained from third parties or must be disclosed by law or official order. It continues after the end of the contract.
14.3 The client is only named as a reference with its express consent.
15. No right of withdrawal
As the offer is directed exclusively at businesses, there is no right of withdrawal. Cancellation of Monitoring under clause 7 and mandatory statutory provisions remain reserved.
16. Force majeure
Neither party is liable for non-performance or delay of its obligations to the extent caused by circumstances beyond its reasonable control, such as natural events, pandemics, war, official measures, strikes or failures of networks, data centres or third-party services including the AI providers. Performance deadlines are extended by the duration of the disruption. If it lasts longer than 60 days, either party may terminate the contract.
17. Governing law and jurisdiction
17.1 These Terms and Conditions are governed exclusively by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-law rules of private international law.
17.2 The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is the District of March (Bezirksgericht March, Lachen), Canton of Schwyz, Switzerland. AIVISIBLE remains entitled to bring proceedings against the client at its registered office.
18. Final provisions
18.1 Should any provision of these Terms and Conditions be wholly or partly invalid or unenforceable, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by one that comes closest to its economic purpose.
18.2 Amendments and additions must be made in text form. AIVISIBLE may amend these Terms and Conditions for ongoing Monitoring contracts with six weeks' notice; if the client does not object within this period, the amendments are deemed accepted. The client will be informed of this consequence in the notice.
18.3 The German version is authoritative; this English version is a translation for convenience.
18.4 The Disclaimer applies in addition; in the event of conflict, these Terms and Conditions prevail.
